The website located at axsysllc.com, including its public pages and customer-portal entry pages (the “Site”), is owned and operated by AXSYS LLC, a New York limited liability company (“AXSYS,” “we,” “us,” or “our”).
These Website Terms of Use (“Terms”) govern access to and use of the Site. By accessing or using the Site, a person agrees to these Terms for themselves or the organization they represent and confirms that they have authority to do so. A user must be at least 18 years old. If a user does not agree, the user should not access or use the Site.
1. Additional Service terms
Authenticated dashboard features, software products, APIs, subscriptions, hosted or customer-specific deployments, commissioned work, and other customer Services may be governed by the Terms of Service, a purchase flow, product-specific terms, an Order or statement of work, or another customer agreement. Those additional terms apply to the relevant Service and control over these Terms if there is a conflict concerning that Service.
The Site may display portfolio items, products, or links that are operated under separate terms or by third parties. Display on the Site does not make those items subject to these Terms when another agreement or operator applies.
2. Accounts and dashboard access
Some Site features require an account authorized for an existing or prospective customer relationship. Users must provide accurate information, keep credentials confidential, use only accounts they are authorized to use, and promptly notify AXSYS of suspected unauthorized access.
A user may not share a session or credential to bypass user limits or permit an unauthorized person to access customer, project, relationship, or billing information. The customer organization is responsible for identifying authorized users and notifying AXSYS when access should change.
AXSYS may restrict, suspend, or terminate account or dashboard access when reasonably necessary to enforce applicable terms, respond to a customer instruction, address nonpayment, protect security, prevent harm or unlawful activity, or comply with law.
3. Access license and restrictions
Subject to these Terms, AXSYS grants each user a limited, non-exclusive, non-transferable, revocable right to access and use the Site for lawful personal or internal business purposes.
A user must not:
- Copy, reproduce, republish, sell, rent, sublicense, distribute, frame, mirror, scrape, or commercially exploit the Site or its content except as expressly permitted in writing;
- Modify, create derivative works from, reverse engineer, decompile, disassemble, or attempt to derive source code from the Site except to the limited extent a restriction is prohibited by law;
- Use automated means to access the Site in a manner that imposes an unreasonable load or circumvents a restriction;
- Probe, scan, test, disable, evade, or interfere with authentication, security, availability, rate limits, or access controls;
- Introduce malicious code, impersonate another person, misrepresent affiliation, or access an account, project, or information without authorization;
- Use the Site to violate law, infringe rights, or develop a directly competing copy using protected Site content; or
- Remove or alter a copyright, trademark, or other proprietary notice.
4. Ownership and feedback
AXSYS and its licensors own the Site and its software, visual design, text, graphics, logos, documentation, organization, and other content, together with all associated intellectual-property rights. These Terms do not transfer ownership. All rights not expressly granted are reserved.
Third-party names, marks, product images, and portfolio materials remain the property of their respective owners and are used only as permitted.
If a user voluntarily provides feedback or suggestions about the Site, the user grants AXSYS a perpetual, irrevocable, worldwide, non-exclusive, fully paid, royalty-free right to use them without restriction or compensation. AXSYS will not identify the user publicly as the source without permission. Users should not submit feedback they consider proprietary or confidential.
6. Third-party services and links
The Site may link to or reference third-party websites, products, social networks, marketplaces, or services. A link or portfolio reference does not mean AXSYS controls, operates, guarantees, or endorses the third party. Use of a third-party service is at the user’s risk and is governed by that provider’s terms and privacy practices.
AXSYS is not responsible for third-party content, availability, security, products, statements, or practices, or for a change, suspension, or failure outside AXSYS’s reasonable control.
7. Changes, support, and availability
AXSYS may modify, suspend, restrict, or discontinue all or part of the public Site at any time. AXSYS has no obligation to provide support or maintenance for public Site content. Support commitments for an authenticated Service apply only if stated in the applicable product terms or customer agreement.
Site content is provided for general information and may not always be complete, current, or error-free. Unless AXSYS expressly states otherwise in applicable product terms or a customer agreement, a Site statement is not a binding offer, warranty, service level, or professional advice.
8. Business-user indemnity
If a user accesses or uses the Site for business purposes, the user and the organization represented will defend, indemnify, and hold harmless AXSYS and its personnel from a third-party claim arising from the user’s unlawful or unauthorized use of the Site, violation of these Terms, or violation of another person’s rights.
AXSYS will provide reasonable notice and cooperation. The indemnifying party may not settle a claim in a manner that admits fault by, imposes an obligation on, or fails to fully release AXSYS without AXSYS’s written consent. This section does not apply to a consumer to the extent prohibited by law.
9. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE.” AXSYS AND ITS SUPPLIERS DISCLAIM EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
AXSYS does not warrant that the Site will be uninterrupted, error-free, completely secure, free of harmful code, or suitable for a particular requirement. Nothing in these Terms limits a warranty, remedy, or consumer right that cannot legally be excluded.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AXSYS AND ITS SUPPLIERS WILL NOT BE LIABLE FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, COSTS OF SUBSTITUTE SERVICES, OR INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE SITE OR THESE TERMS, EVEN IF ADVISED THAT THE DAMAGE IS POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AXSYS’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE PUBLIC SITE OR THESE TERMS WILL NOT EXCEED US $100. THE EXISTENCE OF MULTIPLE CLAIMS DOES NOT INCREASE THIS CAP.
These limits do not apply to liability that cannot legally be limited or excluded. They are an essential basis of the arrangement and apply even if a remedy fails of its essential purpose.
11. Term and termination
These Terms remain in effect while a user accesses or uses the Site. AXSYS may terminate the permission granted under these Terms or restrict access for a violation or for another lawful reason. On termination, the user must stop using the affected Site features.
Provisions that by their nature should survive—including restrictions, ownership, privacy, disclaimers, liability limits, indemnity, and general terms—survive termination.
12. General terms
Governing law and courts. New York law governs these Terms without regard to conflict-of-law rules. Subject to non-waivable consumer rights, the state and federal courts located in New York State have exclusive jurisdiction over disputes arising from the Site or these Terms. Either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect security, confidential information, or intellectual-property rights.
Export and sanctions. A user may not access, use, export, re-export, or transfer technical information or software from the Site in violation of applicable export-control, sanctions, or trade laws.
Electronic communications. AXSYS may provide Site-related notices electronically through the Site, an account, the dashboard, or an email address associated with the user or customer. Electronic notices satisfy a writing requirement to the extent permitted by law.
Accessibility. AXSYS works to make the Site usable by people with disabilities. Accessibility concerns or suggestions may be sent to support@axsysllc.com.
Changes. AXSYS may update these Terms prospectively. We will post the revised version and update its effective date. If a change materially affects an authenticated user, we may provide additional notice through the Site, account, dashboard, or email.
Assignment; severability; waiver. A user may not assign these Terms without AXSYS’s written consent. AXSYS may assign them to an affiliate or in connection with a financing, merger, reorganization, sale of assets, or transfer of the Site or business. If a provision is unenforceable, it will be modified only to the minimum extent necessary and the remaining provisions remain effective. A waiver must be in writing and applies only to the specific instance.
Entire agreement. These Terms, the Privacy Policy, the Cookie Notice, and any additional terms expressly applicable to a Site feature form the entire agreement concerning ordinary use of the Site. “Including” means “including without limitation.”
